StudSide Terms of Service

Welcome to StudSide (“we”, “us”, or “our”).

StudSide is an online marketplace based in New Zealand that allows individuals to buy and sell new or pre-owned leather and faux leather apparel and accessories.
By accessing or using StudSide (“the platform”), you (“you”, “user”, “buyer”, or “seller”) agree to comply with and be bound by these Terms of Service (“Terms”).
If you do not agree to these Terms, please do not use the platform.

1. Platform Provider

StudSide is operated by Stud Side.

The marketplace is powered by Tradly, which provides the website builder, hosting, and technical infrastructure.
Tradly is not a party to any transaction between buyers and sellers.

2. Nature of the Service

StudSide provides an online platform where users may list, buy, or sell leather and faux leather items.
We do not own, create, sell, resell, or guarantee any listed items.

All transactions are made directly between buyers and sellers.
StudSide acts only as a neutral venue and is not responsible for the quality, authenticity, delivery, or condition of items.

3. Eligibility

  • You must be 18 years or older to create an account, list products, or make purchases.

  • By creating an account, you confirm that you are at least 18 years old and that all information provided is true and complete.

  • Stripe, our payment processor, may also verify your identity and age before approving your account for payouts.

  • We may suspend or terminate any account suspected of being used by minors or providing false information.

4. Account Registration

You are responsible for maintaining the confidentiality of your login details and for all activity under your account.
If you suspect unauthorized use, you must notify us immediately.

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in fraudulent activity.

5. Listings and Content

Sellers are responsible for the accuracy of their listings, including descriptions, prices, photos, and authenticity.

  • You may only list items that you legally own and have the right to sell.

  • If your item is faux leather or synthetic, this must be clearly indicated in the description.

  • If unsure whether an item is genuine or synthetic, it must be described as faux/synthetic.

StudSide does not physically inspect items and cannot verify material type.
Listings that misrepresent materials may be removed, and accounts may be suspended.

We may remove or edit listings at our discretion if they violate these Terms, laws, or community guidelines.

6. Payments

Payments on StudSide are securely processed through Stripe Standard Checkout.

  • Buyers pay directly through Stripe.

  • Sellers receive payouts to their own connected Stripe accounts.

  • StudSide does not store or process card details.

Sellers must connect to Stripe through their StudSide account to receive payouts.
This option is available in the menu once logged in as a member.

Stripe and StudSide may charge service or commission fees as described below.

7. Fees and Payouts

  • StudSide fee: 7% commission on the total sale price of each completed order.

  • Stripe fee: approximately 2.9% + USD $0.30 per transaction (may vary by region).

All fees are automatically deducted at the time of sale.
Sellers receive the remaining balance directly from Stripe.

Example:
If an item sells for $100 USD:
→ StudSide fee: $7.00
→ Stripe fee (approx.): $3.20
✅ Payout to seller: $89.80 USD

Payout timing depends on Stripe’s processing and verification.
StudSide does not hold buyer or seller funds at any time.

8. Transactions Between Users

Buyers and sellers are responsible for completing transactions, including payment, shipment, and delivery.

StudSide does not act as an escrow or intermediary for payments.
All funds flow directly between Stripe and the connected seller account.

If an issue arises between a buyer and seller (e.g., product not received, damaged, or misdescribed):

  • StudSide may help facilitate communication or basic dispute mediation, but

  • StudSide is not legally obligated to provide refunds or compensation, and

  • Financial disputes must be resolved through Stripe’s or the buyer’s bank’s dispute process.

9. Compliance and Applicable Law

StudSide operates in compliance with the laws of New Zealand, including consumer and e-commerce regulations, and adheres to applicable laws in any country where StudSide operates or ships.

Users must ensure that their own activities (listing, selling, or buying) comply with local laws, customs, and import/export requirements.

10. Prohibited Activities

You agree not to:

  • Use StudSide for illegal, fraudulent, or misleading purposes.

  • Post or sell counterfeit or stolen items.

  • Harass, threaten, or abuse other users.

  • Attempt to interfere with the site’s operation or security.

  • Circumvent StudSide’s payment systems by completing sales off-platform.

Violations may result in permanent account suspension.

11. Intellectual Property

All content, branding, and design of StudSide are owned by StudSide or its licensors.
You may not copy or distribute StudSide’s content without permission.

You retain rights to your own product images and descriptions but grant StudSide a limited license to display them on the marketplace and in promotional materials.

12. Limitation of Liability

To the fullest extent permitted by law:

  • StudSide and Tradly are not liable for any indirect, incidental, or consequential damages.

  • We do not guarantee uninterrupted or error-free service.

  • Our total liability for any claim shall not exceed the amount you paid (if any) to use our services.

13. Indemnification

You agree to indemnify and hold harmless StudSide, its owners, affiliates, and service providers (including Tradly and Stripe) from any claims or damages arising from:

  • Your use of the platform,

  • Your breach of these Terms, or

  • Your violation of laws or third-party rights.

14. Changes to These Terms

We may update or modify these Terms periodically.
Continued use of StudSide after changes are posted means you accept the updated Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of New Zealand.
